KLOSET KLUB TERMS OF USE

Important notice: These Terms contain important clauses that may limit Kloset Klub’s liability, place responsibility on you, or require you to accept certain risks. These include clauses dealing with marketplace responsibility, seller warranties, Managed Klosets / Kloset Cleanout, AI-assisted listing tools, buyer protection, payouts, limitation of liability, indemnities, and dispute resolution.

By using Kloset Klub, you confirm that you have read, understood, and accepted these Terms. Where required by section 49 of the Consumer Protection Act, these risk-related clauses are brought to your attention.

1. WHO WE ARE AND HOW TO CONTACT US

1.1 Kloset Klub is operated by Four Times Three SA (Pty) Ltd, registration number 2018/348019/07.

1.4 References to Kloset Klub, we, us, or our include Four Times Three SA (Pty) Ltd, our directors, officers, employees, contractors, service providers, and authorised representatives.

2. WHAT THESE TERMS COVER

2.1 These Terms apply to your access to and use of Kloset Klub, including our website, app, marketplace, account features, seller tools, buyer tools, SafePay payments, wallet, shipping integrations, reviews, chat, disputes, AI-assisted tools, and any related services.

2.2 These Terms apply whether you use Kloset Klub as:

• A buyer
• A self-service seller
• A Managed Kloset / Kloset Cleanout seller
• A browser or visitor
• A user of our AI-assisted listing tools
• A user of any other Kloset Klub feature or service

2.3 By creating an account, listing an item, buying an item, using our services, or continuing to use Kloset Klub, you agree to these Terms, our Privacy Policy, Community Guidelines, Returns and Refunds Policy, Buyer Protection Policy, and Luxury Authenticity and Anti-Counterfeit Policy.

2.4 If you do not agree to these Terms, you must not use Kloset Klub.

2.5 We may update these Terms from time to time. Updates will apply prospectively. We will notify users of material changes through the Platform or by other reasonable means. Continued use of Kloset Klub after an update means you accept the updated Terms.

3. LEGAL FRAMEWORK AND YOUR RIGHTS

3.1 These Terms are governed by South African law.

3.2 Relevant laws may include the Consumer Protection Act 68 of 2008, Electronic Communications and Transactions Act 25 of 2002, Protection of Personal Information Act 4 of 2013, Cybercrimes Act 19 of 2020, Second-Hand Goods Act 6 of 2009, Companies Act 71 of 2008, and other applicable laws.

3.3 Nothing in these Terms limits any non-excludable rights you may have under applicable law.

3.4 If any clause in these Terms conflicts with compulsory law, the compulsory law will apply.

4. KLOSET KLUB’S ROLE

4.1 Kloset Klub is a fashion resale marketplace and managed selling platform.

4.2 For self-service listings, Kloset Klub provides the technology, tools, payment flow, shipping integrations, support, and marketplace rules that allow users to buy and sell pre-loved fashion.

4.3 For self-service listings, unless we expressly state otherwise in writing:

• Kloset Klub is not the seller of the item
• Kloset Klub is not the buyer of the item
• Kloset Klub is not a party to the sale agreement between the buyer and seller
• The seller remains responsible for the listing, item condition, item description, authenticity, ownership, dispatch, and legal right to sell

4.4 For Managed Klosets / Kloset Cleanout, Kloset Klub may provide a managed selling service where we collect, receive, curate, photograph, describe, list, price, promote, dispatch, and manage selected items on behalf of a seller.

4.5 For Managed Klosets / Kloset Cleanout, Kloset Klub acts as a managed service provider and/or disclosed agent for the seller. Ownership of the item remains with the seller until the item is sold, unless otherwise agreed in writing.

4.6 Kloset Klub may provide support services, payment facilitation, shipping integrations, dispute handling, listing tools, AI-assisted tools, trust and safety checks, and content moderation.

4.7 We may remove listings, restrict listings, suspend accounts, pause payouts, withhold funds, request information, or take other reasonable action where we suspect fraud, counterfeit activity, unlawful conduct, platform misuse, fee avoidance, policy breaches, or risk to users or Kloset Klub.

5. ELIGIBILITY AND ACCOUNTS

5.1 You must be at least 18 years old and have legal capacity to use Kloset Klub.

5.2 You must provide accurate, current, and complete information when creating or updating your account.

5.3 You are responsible for keeping your login details secure.

5.4 You are responsible for all activity that takes place through your account, unless the activity was caused by our gross negligence or unlawful conduct.

5.5 We may verify your identity, request additional information, or refuse, suspend, or close an account where reasonably necessary for legal, trust, safety, fraud prevention, payment, or platform integrity reasons.

5.6 You may not create multiple accounts to avoid fees, bypass restrictions, manipulate reviews, avoid suspension, or misuse the Platform.

6. LISTING AND SELLING

6.1 Seller responsibility

Sellers are responsible for ensuring that every listing is accurate, lawful, not misleading, and fairly represents the item being sold.

6.2 Accuracy

Sellers must provide truthful descriptions, correct sizing, clear condition details, accurate brand information, and disclose defects, damage, alterations, stains, missing parts, or any material issue that may affect a buyer’s decision.

6.3 Media quality

Sellers must upload clear, good-quality photos or videos that fairly show the item.

6.4 Own media

For self-service listings, sellers should use their own photos, videos, and descriptions unless they have the right to use third-party content.

6.5 Authenticity

Counterfeits, dupes, replicas, fake branded goods, and items that infringe intellectual property rights are not allowed.

6.6 Prohibited items

You may not list:

• Illegal goods
• Stolen goods
• Counterfeit goods
• Weapons
• Hazardous materials
• Hateful content
• Adult-only content
• Items outside the fashion categories we allow
• Items we reasonably consider unsafe, unsuitable, unlawful, or inconsistent with Kloset Klub’s marketplace standards

6.7 Condition standards

Kloset Klub may reject or remove listings that do not meet our quality standards, including items that are dirty, heavily damaged, poorly photographed, misleadingly described, low resale value, or unsuitable for the Platform.

6.8 Ownership

By listing an item or handing an item to Kloset Klub for Managed Klosets / Kloset Cleanout, you warrant that:

• You own the item
• You have the right to sell the item
• The item is not stolen
• The item is not counterfeit
• The item is not subject to any dispute, lien, finance arrangement, or third-party claim
• Selling the item will not breach any law or third-party right

6.9 Legal and tax compliance

Sellers are responsible for complying with applicable laws, including tax laws and, where applicable, second-hand goods laws.

6.10 Business sellers

If you sell in the ordinary course of business, as a reseller, thrift store, boutique, professional seller, or frequent commercial seller, you are responsible for complying with all consumer protection, tax, business, and trading laws that apply to you.

7. MANAGED KLOSETS / KLOSET CLEANOUT

7.1 What Managed Klosets / Kloset Cleanout is

Managed Klosets, also referred to as Kloset Cleanout, is a managed selling service where Kloset Klub may collect, receive, curate, photograph, describe, list, price, promote, dispatch, and manage selected fashion items on behalf of a seller.

7.2 Service availability

Managed Klosets / Kloset Cleanout may only be available in selected areas.

Kloset Klub may update service areas from time to time.

At launch, Kloset Cleanout may be limited to selected Johannesburg northern suburbs or other areas confirmed by Kloset Klub.

7.3 Selective service

Kloset Klub is not required to accept every item or every seller into Managed Klosets / Kloset Cleanout.

We may accept, reject, return, donate, dispose of, or request collection of items in line with these Terms, any Managed Klosets process, and applicable law.

7.4 Items we may reject

Kloset Klub may reject items that:

• Are counterfeit, fake, replica, or suspected counterfeit
• Are dirty, stained, damaged, broken, or heavily worn
• Have poor resale value
• Are ultra-fast-fashion or low-resale-value items
• Are outside our accepted categories
• Are not suitable for the Kloset Klub audience
• Are unsafe, unlawful, or prohibited
• Cannot reasonably be photographed, listed, stored, dispatched, or sold
• Do not meet our quality, brand, resale, authenticity, condition, or category standards

7.5 Seller warranties for Managed Klosets

When you hand items to Kloset Klub for Managed Klosets / Kloset Cleanout, you warrant that:

• You own the items
• You have full authority to allow Kloset Klub to sell the items
• The items are not stolen
• The items are not counterfeit
• The items do not infringe any third-party rights
• The information you provide about the items is accurate
• You have disclosed all known defects, damage, alterations, or issues
• You accept the Managed Klosets / Kloset Cleanout commission structure

7.6 Ownership of Managed Kloset items

Ownership of Managed Kloset items remains with the seller until the item is sold, unless otherwise agreed in writing.

Kloset Klub does not buy the items from the seller unless we expressly agree to do so in writing.

7.7 Authority to sell

By handing items to Kloset Klub for Managed Klosets / Kloset Cleanout, you authorise Kloset Klub to act on your behalf to prepare, list, promote, sell, dispatch, and manage the items through the Platform.

7.8 Pricing authority

For Managed Klosets / Kloset Cleanout, you authorise Kloset Klub to recommend, set, adjust, discount, bundle, promote, and update listing prices where we reasonably believe this may improve the chance of sale.

Kloset Klub does not guarantee that an item will sell, sell within a specific time, or sell at a specific price.

7.9 No guaranteed sale

Kloset Klub does not guarantee:

• That your items will be accepted
• That your items will be listed
• That your items will be promoted
• That your items will sell
• That your items will sell within a specific period
• That your items will sell at a specific price
• That your items will achieve any particular resale value

7.10 Managed Klosets commission

For Managed Klosets / Kloset Cleanout, unless otherwise agreed in writing:

• The seller keeps 55% of the successful sale price
• Kloset Klub earns 45% of the successful sale price

The successful sale price means the item sale price actually paid by the buyer, excluding shipping, buyer protection fees, payment provider fees, refunds, chargebacks, discounts funded by Kloset Klub, or other excluded amounts unless stated otherwise.

7.11 What the Managed Klosets commission covers

The Managed Klosets / Kloset Cleanout commission may cover services such as:

• Collection or receiving of selected items
• Curation
• Sorting
• Photography
• Listing creation
• Listing descriptions
• Pricing support
• Platform listing
• Promotion
• Buyer communication support
• Order handling
• Dispatch support
• General managed selling administration

7.12 Payout timing for Managed Klosets

Managed Kloset sellers are paid only after:

• The item is sold
• Buyer funds are successfully received through SafePay
• The buyer protection window closes without an unresolved issue, or the buyer confirms the order
• Any return, refund, dispute, chargeback, fraud review, or policy issue has been resolved
• Kloset Klub’s commission and any applicable costs have been deducted

7.13 Possession and reasonable care

Kloset Klub will take reasonable care of accepted Managed Kloset items while they are in our possession.

However, pre-loved items may have pre-existing defects, natural wear, hidden damage, fabric weakness, colour variation, ageing, loose threads, missing parts, or other condition issues.

7.14 Loss or damage while in Kloset Klub’s possession

If Kloset Klub is directly responsible for the loss of or material damage to an accepted Managed Kloset item while it is in our possession, Kloset Klub’s liability will be limited to the reasonable second-hand resale value of the item, determined by Kloset Klub acting reasonably.

Where legally allowed, Kloset Klub’s liability will not exceed the expected seller payout for that item.

Kloset Klub is not liable for:

• Pre-existing defects
• Ordinary wear and tear
• Hidden defects
• Natural deterioration
• Colour fading
• Fabric weakness
• Loose threads
• Minor handling marks
• Damage caused by inaccurate seller information
• Loss or damage caused by events outside our reasonable control
• Loss or damage caused by courier or third-party service providers, except where the law says otherwise

7.15 Rejected items

If items are rejected, Kloset Klub may notify the seller and make reasonable arrangements for return, collection, donation, or disposal, depending on the process communicated to the seller.

The seller may be responsible for reasonable return, courier, storage, donation, or disposal costs where applicable and clearly communicated.

7.16 Unsold items

If Managed Kloset items remain unsold, Kloset Klub may continue listing them, discount them, return them, request collection by the seller, donate them, or otherwise deal with them as agreed with the seller and permitted by law.

7.17 Uncollected items

If a seller does not collect, accept return of, or give instructions for rejected or unsold items within the period notified by Kloset Klub, Kloset Klub may charge reasonable storage, return, donation, or disposal costs, subject to applicable law.

7.18 Managed Kloset listing content

For Managed Klosets / Kloset Cleanout, Kloset Klub may create listing titles, descriptions, images, videos, pricing, tags, categories, and other listing content.

Kloset Klub will use reasonable efforts to describe items accurately, but the seller remains responsible for the accuracy of information they provide to Kloset Klub, including brand, ownership, authenticity, condition, size, alterations, purchase history, and defects.

7.19 Buyer-facing Managed Kloset disclosure

Listings may be marked or presented as self-service seller listings or Managed Kloset listings.

Where a listing is marked as a Managed Kloset, Kloset Klub may manage listing, communication, dispatch, or support on behalf of the seller.

All items remain pre-loved unless expressly stated otherwise.

7.20 No authentication guarantee through Managed Klosets

Curation, photography, listing support, Managed Klosets, Kloset Cleanout, or Platform approval does not mean Kloset Klub guarantees authenticity, condition, brand origin, value, or resale potential, unless we expressly state this in writing for a specific item or service.

8. AI-ASSISTED LISTING TOOLS

8.1 AI listing tools

Kloset Klub may provide AI-assisted tools to help users create or improve listing titles, descriptions, tags, categories, captions, pricing guidance, or other listing content.

8.2 AI content may be inaccurate

AI-generated content may be inaccurate, incomplete, outdated, unsuitable, or misleading.

AI tools may incorrectly identify brand, style, fabric, size, condition, colour, category, price, or other details.

8.3 Seller must review AI content

You must review, edit, and confirm all AI-generated content before publishing or using it.

By publishing a listing, you confirm that the final listing is accurate, lawful, not misleading, and fairly describes the item.

8.4 Seller remains responsible

Using AI-assisted tools does not shift responsibility from the seller to Kloset Klub.

The seller remains responsible for:

• Listing accuracy
• Item condition
• Brand information
• Authenticity
• Size
• Defect disclosure
• Ownership
• Legal right to sell
• Compliance with these Terms and applicable law

8.5 No AI guarantee

Kloset Klub does not guarantee that AI-generated content will be accurate, complete, lawful, suitable, optimised, or successful in helping an item sell.

8.6 AI pricing guidance

Any AI-assisted pricing guidance is an estimate only.

Kloset Klub does not guarantee that an item will sell at the suggested price or that the suggested price reflects the item’s market value.

8.7 AI and prohibited content

You may not use AI tools to create false, misleading, unlawful, infringing, abusive, discriminatory, counterfeit-related, or prohibited content.

8.8 AI processing

By using AI-assisted tools, you authorise Kloset Klub and its technology providers to process the information, images, prompts, and listing content you provide for the purpose of generating, improving, moderating, and operating Platform features, in line with our Privacy Policy.

9. BUYING ON KLOSET KLUB

9.1 Pre-loved items

Kloset Klub is a pre-loved fashion marketplace.

Unless expressly stated otherwise, items listed on Kloset Klub are not new and may show signs of prior use.

9.2 Buyer responsibility

Buyers must review the listing, photos, video, description, size, condition, seller information, shipping method, fees, and applicable policies before buying.

9.3 Questions before buying

Buyers should ask questions through the Platform before purchasing if they are unsure about sizing, condition, colour, fit, defects, authenticity, or any other material detail.

9.4 No off-platform protection

Buyer protection, SafePay, support, and Platform dispute processes only apply to transactions completed through Kloset Klub.

Transactions completed outside Kloset Klub are not protected.

10. BUYER PROTECTION FEE

10.1 Buyer protection fee

A buyer protection fee applies to buyers at checkout.

At checkout, buyers pay:

• The item price
• Shipping
• A buyer protection fee of 6.5% + R15 per order

10.2 What buyer protection helps with

Buyer protection may help where an eligible issue is reported within the applicable buyer protection window, including where:

• An item does not arrive
• An item arrives damaged
• An item is materially not as described

10.3 Buyer protection is not insurance

Buyer protection is not an insurance product, warranty, or unconditional guarantee.

It is a Platform protection process that allows Kloset Klub to pause payout, request evidence, and help resolve eligible issues in line with our policies.

10.4 Buyer protection limits

Buyer protection does not apply where:

• The transaction happened off-platform
• The issue is reported outside the applicable window
• The buyer changed their mind
• The item does not fit, unless the listing was materially inaccurate
• The buyer ignored clear listing information
• The buyer damaged the item after delivery
• The issue is excluded under our Returns and Refunds Policy
• The claim is fraudulent, abusive, or unsupported by evidence

11. SAFEPAY, PAYMENTS, AND PAYMENT PROTECTION

11.1 SafePay

Payments on Kloset Klub are processed through SafePay, powered by TradeSafe or another payment provider used by Kloset Klub from time to time.

11.2 Funds held before release

Buyer funds are held securely and released to the seller’s wallet only once:

• The buyer confirms that they are happy with the order, or
• The buyer protection window ends without an eligible issue being raised, or
• A dispute is resolved in favour of release

11.3 Payment provider terms

Payment providers may have their own terms, fees, processes, timelines, and verification requirements.

By using Kloset Klub payments, you may also be required to comply with the applicable payment provider terms.

11.4 Payment checks

We may pause, delay, reverse, or withhold payment where we reasonably suspect fraud, chargebacks, counterfeit activity, unlawful conduct, policy breaches, incorrect banking details, account misuse, or payment risk.

12. BUYER PROTECTION WINDOW

12.1 Delivery confirmation

Once an order is marked as delivered, the buyer has 24 hours to confirm receipt by selecting Order Received in their account.

12.2 Return request window

If the buyer does not confirm receipt within the 24-hour period, a return request option may become available.

Buyers then have an additional 48 hours to request a return through the Platform.

12.3 Return approval

Sellers are not automatically required to accept returns.

Return requests are subject to seller approval, buyer protection rules, the Returns and Refunds Policy, and applicable law.

12.4 Approved returns

If a return is approved, the item must be returned using the return method instructed through the Platform.

12.5 Problem reports

If the buyer reports a problem within the buyer protection window, payout may be paused while the issue is reviewed.

13. KEEP TRANSACTIONS ON-PLATFORM

13.1 To remain protected by SafePay and buyer protection, all communication, payment, and transaction activity must take place on Kloset Klub.

13.2 You may not use Kloset Klub to avoid platform fees, move transactions off-platform, solicit users to complete purchases outside Kloset Klub, or arrange private payment for items introduced through the Platform.

13.3 If we reasonably suspect off-platform activity, fee avoidance, fraud, or platform misuse, we may:

• Remove listings
• Suspend or close accounts
• Pause or withhold payouts
• Cancel transactions
• Restrict access to Platform features
• Take other reasonable action to protect Kloset Klub and users

14. FEES AND COMMISSIONS

14.1 Self-service seller success fee

For self-service sellers, Kloset Klub charges a 5% success fee on each successful sale, unless otherwise stated.

Self-service sellers keep 95% of the item sale price, less any applicable deductions clearly disclosed through the Platform.

14.2 Managed Klosets / Kloset Cleanout commission

For Managed Klosets / Kloset Cleanout, unless otherwise agreed in writing:

• The seller keeps 55% of the successful sale price
• Kloset Klub earns 45% of the successful sale price

14.3 No listing fee for self-service sellers

For self-service sellers, there are currently:

• No listing fees
• No monthly seller fees
• No upfront seller fees

You only pay the success fee when your item sells.

14.4 Managed Klosets costs

Managed Klosets / Kloset Cleanout may have different costs, return costs, storage costs, collection costs, or service rules where communicated to the seller.

14.5 Wallet withdrawal fee

When you withdraw earnings from your wallet to your bank account, a withdrawal cost of R5 excluding VAT may apply.

This cost is charged by the payment provider, not Kloset Klub, and will be shown in your wallet before withdrawal where applicable.

14.6 Fee updates

We may update fees from time to time.

Any fee changes will be communicated in advance and will apply prospectively only.

14.7 Tax

Sellers are responsible for any income tax, VAT, reporting, or other tax obligations arising from their sales.

Kloset Klub may provide transaction records, but does not provide tax advice.

15. SHIPPING WITH PUDO AND OTHER DELIVERY PARTNERS

15.1 Shipping integrations

Kloset Klub may integrate with Pudo and other delivery partners for locker drop-off, door collection, delivery, or return shipping.

15.2 Shipping availability

Shipping options depend on delivery partner availability, network coverage, locker availability, service areas, and delivery partner terms.

15.3 Buyer shipping cost

Buyers select available shipping options at checkout and pay the shipping cost shown.

15.4 Seller dispatch

Self-service sellers must dispatch items within the stated handling time and keep proof of shipment.

15.5 Managed Kloset dispatch

For Managed Kloset listings, Kloset Klub may manage dispatch on behalf of the seller.

15.6 Courier risk

Delivery partners are independent service providers.

If a parcel is lost, delayed, or damaged in transit, Kloset Klub will assist with the delivery partner process where reasonable and apply the buyer protection policy where applicable.

15.7 Risk transfer

Risk in the item transfers to the buyer on delivery as recorded by the carrier, subject to buyer protection, returns, refunds, and applicable law.

16. DELIVERY, CONFIRMATION, RETURNS, AND REFUNDS

16.1 Delivery confirmation

Once an order is marked as delivered, the buyer must review the item promptly.

16.2 Order received

If the buyer confirms Order Received, SafePay may release the funds to the seller’s wallet.

16.3 No issue reported

If the buyer does not confirm receipt or report an eligible issue within the applicable buyer protection window, the order may be deemed successful and closed.

16.4 Issue reported

If the buyer reports an eligible issue within the buyer protection window, Kloset Klub may pause payout, request evidence, and assist with a resolution.

16.5 Evidence

Kloset Klub may request evidence from the buyer, seller, courier, or any relevant party, including photos, videos, delivery records, chat records, packaging proof, and item condition details.

16.6 Returns

Returns are governed by our Returns and Refunds Policy, buyer protection rules, seller approval, and applicable law.

16.7 CPA rights

Where a seller is acting in the ordinary course of business, the Consumer Protection Act may apply, including rights relating to defective goods.

Where a seller is a private individual selling occasionally, the Consumer Protection Act may not apply in the same way.

16.8 More generous seller terms

A seller may offer more generous return terms if they clearly state those terms in the listing.

17. WALLETS AND PAYOUTS

17.1 Wallet

The Kloset Klub wallet is a Platform balance used for seller payouts.

It is not a bank account, does not earn interest, and is not a deposit-taking product.

17.2 Payouts

Payouts are made to the seller’s nominated bank account according to the Platform payout process, payment provider process, and applicable verification requirements.

17.3 Accurate banking details

You are responsible for providing accurate banking and payout details.

Kloset Klub is not responsible for loss caused by incorrect banking details provided by you.

17.4 Holds

We may place holds on wallet balances or payouts where we reasonably suspect:

• Fraud
• Chargebacks
• Counterfeit activity
• Policy breaches
• Unresolved disputes
• Unlawful conduct
• Incorrect account information
• Payment provider requirements
• Off-platform transaction activity
• Platform misuse

17.5 Set-off and deductions

Where legally allowed, Kloset Klub may deduct amounts owed to Kloset Klub, buyers, payment providers, delivery partners, or other users from amounts payable to you.

18. REVIEWS AND COMMUNITY CONDUCT

18.1 Respectful conduct

Users must be respectful and follow our Community Guidelines.

18.2 Prohibited conduct

You may not harass, threaten, abuse, defame, discriminate, spam, scam, impersonate others, or engage in unlawful or harmful conduct.

18.3 Reviews

Reviews must be honest, fair, and based on real transactions.

18.4 Moderation

We may remove, restrict, or moderate reviews, messages, profiles, listings, or other content that violates these Terms, our policies, or applicable law.

19. CONTENT AND INTELLECTUAL PROPERTY

19.1 Your content

You retain ownership of content you upload, including photos, videos, listing descriptions, reviews, messages, and profile content, subject to the licence you grant to Kloset Klub.

19.2 Licence to Kloset Klub

By uploading, submitting, publishing, or sending content through Kloset Klub, you grant Kloset Klub a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, edit, adapt, moderate, promote, market, distribute, and use that content for operating, improving, protecting, and marketing the Platform and related services.

19.3 Managed Kloset content

For Managed Klosets / Kloset Cleanout, Kloset Klub may create photos, videos, descriptions, captions, categories, tags, and other listing content.

Unless otherwise agreed in writing, content created by Kloset Klub for Managed Klosets may be used by Kloset Klub for listing, operating, promoting, and marketing the Platform.

19.4 Content warranties

You warrant that content you provide:

19.5 Kloset Klub intellectual property

Kloset Klub owns or licenses the Platform, brand, name, logos, designs, software, systems, processes, content, and other intellectual property used to operate the Platform.

You may not copy, reproduce, scrape, reverse engineer, misuse, or exploit Kloset Klub intellectual property without our written permission.

19.6 Notice and takedown

We operate a reasonable notice and takedown process under the Electronic Communications and Transactions Act.

Rights holders can contact [email protected] with enough information to identify the work, the alleged infringement, and the listing or content concerned.

20. PRIVACY, DATA, AND SECURITY

20.1 Personal information

We process personal information in line with POPIA and our Privacy Policy.

20.2 Platform data

We may process account data, transaction data, listing data, payment-related data, delivery data, device data, support data, marketing data, and usage data to operate, improve, protect, and grow Kloset Klub.

20.3 Managed Klosets data

For Managed Klosets / Kloset Cleanout, we may process information needed to manage the service, including seller details, collection details, item details, item images, pricing, sale records, payout records, and support records.

20.4 AI tool data

Where you use AI-assisted tools, we may process prompts, images, item information, listing content, and related data to generate, improve, moderate, and operate the tools, in line with our Privacy Policy.

20.5 Marketing communications

Where permitted by law, we may send you service messages, transactional messages, product updates, seller tips, buyer updates, marketing messages, app notifications, email updates, WhatsApp messages, or SMS messages.

You may opt out of marketing communications where required by law.

20.6 Security

You must keep your account secure and notify us immediately if you suspect unauthorised access.

20.7 Cybersecurity

You may not introduce malware, scrape the Platform, interfere with security features, attempt unauthorised access, test vulnerabilities without permission, or misuse Platform data.

The Cybercrimes Act and other applicable laws may apply to unlawful access, interference, or data misuse.

21. ECTA SUPPLIER INFORMATION AND ELECTRONIC TRANSACTIONS

21.1 In compliance with the Electronic Communications and Transactions Act, Kloset Klub makes relevant supplier details, pricing, payment methods, delivery terms, return terms, refund terms, security procedures, and transaction records available through the Platform and these Terms.

21.2 You consent to receiving communications, records, notices, and transaction information electronically.

21.3 Before placing an order, you should review the item, seller, price, shipping, fees, and checkout information carefully.

21.4 Kloset Klub will provide an electronic record of your transaction where required.

22. SERVICE AVAILABILITY AND PLATFORM CHANGES

22.1 Availability

The Platform is provided on an as is and as available basis.

We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or always-available access.

22.2 Changes

We may update, modify, suspend, limit, or discontinue features where reasonably necessary.

22.3 Third-party services

Kloset Klub may rely on third-party services, including payment providers, couriers, hosting providers, analytics providers, AI providers, marketing tools, and support tools.

We are not responsible for third-party service failures except where the law says otherwise or where the failure is caused by our own unlawful conduct or gross negligence.

23. WARRANTIES, DISCLAIMERS, LIABILITY, AND INDEMNITIES

23.1 Marketplace items

Unless expressly stated otherwise in writing, Kloset Klub does not manufacture, own, inspect, authenticate, or guarantee items listed by users.

23.2 No general guarantee

Kloset Klub does not guarantee:

• Item quality
• Item condition
• Item safety
• Item legality
• Item authenticity
• Item fit
• Item resale value
• Item sale speed
• Seller performance
• Buyer conduct
• Delivery timelines
• AI-generated content accuracy

23.3 Managed Klosets

For Managed Klosets / Kloset Cleanout, Kloset Klub will use reasonable care in providing the managed service, but we do not guarantee that any item will be accepted, listed, promoted, sold, sold at a specific price, or sold within a specific period.

23.4 Limitation of liability

To the maximum extent permitted by law, Kloset Klub is not liable for indirect loss, consequential loss, loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption.

23.5 Liability cap

To the maximum extent permitted by law, Kloset Klub’s total liability to you for all claims arising out of or connected with these Terms will not exceed the greater of:

• The total commissions paid by you to Kloset Klub in the 12 months before the claim, or
• R5,000

For Managed Klosets / Kloset Cleanout item loss or damage while directly in Kloset Klub’s possession, our liability is limited as set out in the Managed Klosets section.

23.6 Exclusions

Nothing in these Terms limits liability for fraud, intentional misconduct, death or personal injury caused by gross negligence, or any liability that may not legally be excluded.

23.7 User indemnity

You indemnify Kloset Klub against claims, losses, damages, costs, penalties, liabilities, and expenses arising from:

• Your breach of these Terms
• Your breach of applicable law
• Your inaccurate listing
• Your sale of counterfeit, stolen, unlawful, unsafe, or infringing goods
• Your infringement of third-party rights
• Your misuse of the Platform
• Your off-platform transaction activity
• Your fraud or misrepresentation
• Your failure to disclose item defects
• Your breach of seller warranties

24. SUSPENSION AND TERMINATION

24.1 Our rights

We may suspend or terminate accounts, remove listings, cancel transactions, pause payouts, restrict wallet access, or limit Platform use where we reasonably suspect:

• Fraud
• Counterfeit activity
• Unlawful conduct
• Off-platform fee avoidance
• Abuse, harassment, or harmful conduct
• Misleading listings
• Payment risk
• Chargeback risk
• Policy breaches
• Data misuse
• Security risk
• Any conduct that may harm users, Kloset Klub, or the Platform

24.2 Your account

You may close your account at any time.

Closing your account does not affect obligations already incurred, including open orders, unresolved disputes, payouts, returns, fees, indemnities, or legal obligations.

24.3 Survival

Clauses that should reasonably survive termination will continue to apply, including clauses dealing with fees, payouts, disputes, intellectual property, privacy, warranties, liability, indemnities, and governing law.

25. DISPUTES AND RESOLUTION

25.1 Contact us first

We aim to resolve issues fairly and promptly.

25.2 Platform disputes

For buyer and seller disputes, we may request evidence and make a reasonable determination in line with our policies.

25.3 Mediation

If a dispute is not resolved, either party may propose mediation.

25.4 Arbitration

If mediation fails, either party may refer the dispute to the Arbitration Foundation of Southern Africa in Cape Town, in English, unless applicable law requires or allows another forum.

25.5 Consumer rights

This dispute clause does not prevent a consumer from approaching a court, the National Consumer Commission, or another competent authority where permitted by the Consumer Protection Act or other applicable law.

25.6 Urgent relief

Either party may approach a court for urgent interim relief where appropriate.

26. GENERAL TERMS

26.1 Governing law

South African law applies to these Terms.

26.2 Jurisdiction

Subject to applicable consumer protection laws, you consent to the non-exclusive jurisdiction of the High Court of South Africa, Western Cape Division, or another competent South African court.

26.3 Assignment

We may assign, transfer, or subcontract our rights or obligations where reasonable.

You may not assign your rights or obligations without our written consent.

26.4 Severability

If any clause is invalid, unlawful, or unenforceable, the rest of these Terms will continue to apply.

26.5 Entire agreement

These Terms, our policies, and any feature-specific terms form the agreement between you and Kloset Klub.

26.6 Feature-specific terms

Certain features, campaigns, payment options, seller programmes, Managed Klosets, promotional tools, AI tools, or buyer protection services may have additional terms.

If there is a conflict between these Terms and feature-specific terms, the feature-specific terms apply for that feature, unless unlawful.

Your domicilium is your account email address and any physical address you provide through the Platform.

Notices must be in writing and are deemed received on the date of delivery or, for email, when delivered to the recipient server, unless proven otherwise.

SUMMARIES

A. FEES SUMMARY

Buyer fees

Buyers pay:

• The item price
• Shipping
• A buyer protection fee of 6.5% + R15 per order

The buyer protection fee may include payment processing and SafePay-related costs.

Self-service seller fee

Self-service sellers pay a 5% success fee per successful order.

Self-service sellers keep 95% of the item sale price, subject to applicable deductions.

Managed Klosets / Kloset Cleanout commission

Managed Kloset / Kloset Cleanout sellers keep 55% of the successful sale price.

Kloset Klub earns 45% of the successful sale price.

Wallet withdrawal fee

A withdrawal fee of R5 excluding VAT may apply when sellers withdraw from their wallet.

B. SHIPPING SUMMARY

Kloset Klub integrates with Pudo and may use other delivery partners.

Shipping options and prices are shown at checkout.

Self-service sellers must dispatch within the stated handling time.

Managed Kloset orders may be dispatched by Kloset Klub on behalf of the seller.

Courier delays, loss, or damage may be handled through the relevant delivery partner process and buyer protection policy where applicable.

C. MANAGED KLOSETS / KLOSET CLEANOUT SUMMARY

Kloset Klub may collect, curate, photograph, list, price, promote, dispatch, and manage selected items on behalf of sellers.

Managed Klosets / Kloset Cleanout is selective.

Kloset Klub may reject unsuitable items.

The seller keeps 55% and Kloset Klub earns 45%.

Kloset Klub does not guarantee sale, sale price, sale speed, resale value, or acceptance of items.

Ownership remains with the seller until sold, unless otherwise agreed in writing.

D. AI LISTING TOOLS SUMMARY

Kloset Klub may offer AI-assisted listing tools.

AI-generated content may be inaccurate.

Sellers must review and correct AI-generated content before publishing.

The seller remains responsible for listing accuracy, authenticity, condition, ownership, and legal compliance.

Kloset Klub does not guarantee AI-generated content or AI pricing guidance.

E. COUNTERFEIT AND PROHIBITED ITEMS SUMMARY

No fakes.

No dupes.

No counterfeits.

No stolen goods.

No prohibited items.

Suspected counterfeit items may be removed, rejected, cancelled, or escalated.

Repeat offenders may be suspended or permanently removed from Kloset Klub.

F. BUYER PROTECTION SUMMARY

SafePay holds funds until the buyer confirms the order or the buyer protection window closes without an eligible issue.

If an eligible problem is reported within the buyer protection window, payout may be paused while evidence is reviewed.

Buyer protection is not insurance and does not apply to off-platform transactions.

G. OFF-PLATFORM TRANSACTIONS SUMMARY

Keep payments and communication on Kloset Klub.

Transactions completed outside Kloset Klub are not protected by SafePay, buyer protection, or Platform dispute support.

Users who move transactions off-platform may be suspended or restricted.
